Terms of Service

1. Scope
These Terms of Service (the “Terms”) govern your use of the social networking service Track Record (the “Service”) provided by HEDELL GROUP LTD. (located at 222 Broadway, New York, NY 10038, United States; website: https://hedellgroup.com/; the “Company”). By using the Service, you agree to be bound by these Terms.
2. The Service
The Service includes the following functions:
- Posts for recording factual events about your work and challenges
- Follow-based interest communities (clubs)
- Project workspaces (public / restricted)
- Testimonials written by collaborators
- OSINTO: AI-generated profile summaries from public information
- Other features the Company may add
The Service operates as an infrastructure for information flow. The Company does not adjudicate disputes between users or about the substance of posts.
3. Registration
- Use of the Service requires registration and agreement to these Terms.
- You must be at least 13 years old to register. Users under 18 should obtain parental consent.
- You must provide accurate and current registration information.
- One account per person. Holding multiple accounts is prohibited.
- The Company may refuse registration or revoke an account at its discretion.
4. Nature of Tokens (Important)
This section clarifies the legal nature of the tokens (personal tokens, project tokens) that circulate within the Service.
- Tokens cannot be exchanged for legal tender.
- Tokens are not cash, cryptocurrency, points, or any other instrument of economic value.
- Tokens cannot be transferred or sold between users.
- Tokens cannot be taken outside the Service.
- Tokens are an in-service measure of recognition for actions taken on the Service (posts, reactions, testimonials, project work), and are purely a part of the in-service experience.
- Tokens are not subject to the Payment Services Act, virtual asset regulations, prepaid payment instrument regulations, or point-system regulations.
The Company may, at its sole discretion and without prior notice, increase, decrease, invalidate, or reset the tokens held by users. The Company assumes no liability for any loss arising from such actions.
5. Prohibited Conduct
You must not:
- Violate laws or public order and morals
- Infringe the reputation, credit, privacy, image rights, or intellectual property rights of third parties
- Post content that promotes discrimination, violence, harassment, threats, or crime
- Intentionally publish false information
- Impersonate another user
- Place an undue load on the Company's or third parties' servers or networks
- Interfere with the operation of the Service
- Use information obtained from the Service for commercial purposes without the Company's permission
- Send spam, mass solicitation, or unsolicited advertising
- Attempt to sell, transfer, or convert tokens to cash
- Operate the Service through automated tools (bots, scrapers, crawlers) without prior consent from the Company
- Exploit the Service's mechanics (token award, Sugoi validation, summons, etc.) to acquire tokens unfairly
- Allow or facilitate use of the Service by minors (especially anyone under 13)
- Engage in any other conduct the Company deems inappropriate

5.1 Enforcement
- The Company may, in its sole discretion and with or without prior notice, take the following actions against users suspected of violating §5:
- Remove or restrict access to posted content
- Suspend use of the Service in whole or in part (temporarily or permanently)
- Delete the account
- Prohibit re-registration by the same person
- When the Company receives a report of a violation, it will investigate within reason. The reporter's identity will not be disclosed to the reported party unless legally required.
- Users are obligated to cooperate with the Company's investigations. Refusal to answer reasonable inquiries or to provide relevant information may result in account suspension.
- The Company assumes no liability for losses (including deleted posts and lost tokens) arising from the above actions.
5.2 Copyright Infringement
Reports and responses concerning third-party copyright infringement are governed by our separateCopyright Policy. The Company responds to valid notices under the U.S. Digital Millennium Copyright Act (DMCA) and the corresponding laws of other jurisdictions.
6. Responsibility for Posts
- You are responsible for the truthfulness, legality, and non-infringement of the content you post.
- Content that names a third party in connection with alleged wrongdoing (e.g., financial misconduct, embezzlement, harassment) may constitute defamation or insult. You assume the legal consequences of such posts.
- The Company does not pre-screen content. The Company may, at its discretion, remove or restrict access to content suspected of violating these Terms or applicable law.
- If a third party requests removal, disclosure of sender information, files a lawsuit, or otherwise requests action, the Company will respond in accordance with the Provider Liability Limitation Act (Japan), Section 230 of the Communications Decency Act (United States), and other applicable laws.
7. Restricted Projects
- Restricted projects are closed spaces accessible only to invited members. They may be used to record sensitive matters (litigation, debt, management decisions).
- The content of a restricted project is visible only to current members. Departed members lose access to past records at the time of departure.
- Restricted project content does not appear on the timeline, discover page, public profile, or in OSINTO generation inputs.
- The Company may, however, disclose data from restricted projects in response to legal requests (court orders, formal requests from investigative authorities, etc.).
- If a member intentionally leaks the content to a third party, the responsibility rests with that member.
8. OSINTO (AI-generated Profile)
- OSINTO is a feature that uses AI to generate a profile summary from public information you specify (search anchor URLs, public activity within the Service).
- Generated content is always labeled “Summary generated by AI from public information.”
- Generated content is an AI interpretation, not a verified statement of fact. You may review the draft before deciding whether to publish.
- If you find errors or inappropriate descriptions in the generated content, you may set exclusion terms, regenerate, or stop publication.
9. Personal Information
The handling of personal information is governed by ourPrivacy Policy.
The Service's databases and related infrastructure are located in the United States. By using the Service, you consent to your personal data being transferred outside your country of residence (primarily to the United States).
10. Intellectual Property
- The copyright in content you post remains with you.
- You grant the Company a non-exclusive, royalty-free, worldwide license to copy, modify, display, and distribute your content as necessary to operate, improve, and promote the Service.
- The Track Record name, logo, design, and related intellectual property belong to the Company.
11. Disclaimers
- The Service is provided “as is.” The Company makes no warranty regarding the completeness, accuracy, usefulness, or fitness for a particular purpose of the Service.
- The Company is not liable for damages arising from your use or inability to use the Service.
- The Company is not involved in disputes that arise between users.
- Where law does not permit such disclaimer, the Company's liability is capped at the amount you paid the Company in the most recent twelve months. Where the Service is provided free of charge, the Company's liability is capped at USD 100.
11.1 Beta-stage Notice
The Service is in its initial launch (beta) stage. The following limitations apply:
- Specifications, features, and UI may change without prior notice.
- Service outages, temporary data inconsistencies, and feature instability may occur.
- The Company reserves the right to reset some or all data during the beta period if a serious defect is found. Users are encouraged to keep their own backups of important records.
- The Company is not liable for any damages arising from the beta state (loss of business opportunity, data loss, reputation damage, etc.); §11 applies.
12. Modification or Suspension
The Company may modify, add to, remove, or suspend any part of the Service without prior notice to users.
12.1 Account Deletion
- Users may request account deletion at any time via the settings page or by writing to info@hedellgroup.com.
- Upon account deletion, the following data is removed:
- Profile information (name, email, phone, date of birth, etc.)
- Posts, comments, and reactions created by the user
- OSINTO drafts and publication settings
- Personal token balance and transaction history
- The following are NOT removed:
- Testimonials written by other users about the deleted account
- Public logs of co-owned projects (the deleted user's posts are anonymized)
- Information required to be retained by law
- Records related to ongoing disputes
- Complete deletion from backups may take up to 90 days.
- Deleted accounts are not recoverable as a rule.
13. Changes to These Terms
The Company may modify these Terms as needed. Material changes will be announced within the Service or by email. Continued use after such announcement constitutes acceptance of the modified Terms.
14. Governing Law and Jurisdiction
- These Terms are governed by the laws of the State of Delaware, United States.
- Any dispute arising out of these Terms or the Service shall be brought exclusively in the state or federal courts located in New York County, New York, United States.
- Where mandatory consumer protection laws of a user's country of residence apply, those mandatory provisions remain unaffected.
